1. Acceptance of Terms

By accessing or using the LendrGroup platform, website, and services (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Platform.

We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of the Platform after any changes constitutes acceptance of the new Terms.

2. Eligibility

To use the Platform, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction
• Have the legal capacity to enter into a binding agreement
• Not be located in or a resident of any restricted jurisdiction
• Not be on any sanctions or restricted persons list
• Use the Platform only for lawful purposes

We may request proof of identity and age at any time to verify eligibility.

3. Account Registration

To access certain features of the Platform, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your login credentials secure and confidential
• Notify us immediately of any unauthorized access to your account
• Be fully responsible for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Platform Services

LendrGroup provides a decentralized lending and borrowing platform that allows users to:

• Deposit supported cryptocurrencies to receive vUSD tokens
• Lock vUSD tokens to earn daily yields
• Lend vUSD to borrowers and earn interest
• Participate in the referral program to earn commissions
• Request withdrawals of earned yields and commissions

All transactions are recorded on the blockchain and are irreversible. We do not act as a custodian of your funds beyond the smart contract functionality.

5. Deposits & Withdrawals

Deposits and withdrawals are processed through our smart contract system. Please note:

• Minimum deposit amounts may apply and are subject to change
• Deposited funds are locked for a 90-day period to earn yields
• Early withdrawal may result in forfeiture of accrued yields
• Withdrawal requests are processed manually and may take time
• Network gas fees apply to all blockchain transactions
• We are not responsible for delays caused by network congestion

6. Fees & Charges

The following fees may apply to your use of the Platform:

• Borrowing fee: 5% of the deposit amount (subject to change)
• Network gas fees: Variable, paid by the user
• Withdrawal processing fees: May apply for manual processing
• Inactivity fees: May apply to dormant accounts after extended periods

All fees are disclosed prior to transaction confirmation. We reserve the right to adjust fees with reasonable notice.

7. Risk Disclosure

• Market Risk: Cryptocurrency values can fluctuate dramatically
• Smart Contract Risk: Despite audits, smart contracts may contain vulnerabilities
• Liquidity Risk: Funds may be locked during periods of low liquidity
• Regulatory Risk: Laws regarding crypto may change and affect operations
• Technology Risk: Blockchain networks may experience outages or attacks
• Counterparty Risk: Borrowers may default on loan obligations
• Yield Risk: Projected yields are not guaranteed and may vary
• Loss of Funds: You may lose some or all of your deposited funds

You should never invest more than you can afford to lose. Past performance does not guarantee future results.

8. Prohibited Activities

You agree NOT to engage in any of the following prohibited activities:

• Money laundering, terrorist financing, or any illegal activity
• Attempting to manipulate the platform or its yields
• Creating multiple accounts to abuse referral programs
• Using the platform in any jurisdiction where it is prohibited
• Attempting to hack, exploit, or bypass security measures
• Interfering with other users' access or experience
• Providing false or misleading information
• Using automated bots to interact with the platform without permission

Violation of these prohibitions may result in immediate account termination and forfeiture of funds.

9. Intellectual Property

All content, trademarks, logos, and intellectual property on the Platform are owned by or licensed to LendrGroup. You may not:

• Copy, modify, or distribute any content without permission
• Use our trademarks or logos without written consent
• Reverse engineer any part of the Platform
• Create derivative works based on our intellectual property

We grant you a limited, non-exclusive, non-transferable license to access and use the Platform for personal, non-commercial purposes.

10. Limitation of Liability

• Your use or inability to use the Platform
• Any unauthorized access to or use of our servers
• Any interruption or cessation of transmission to or from the Platform
• Any bugs, viruses, or other harmful code
• Any errors or omissions in any content
• Any loss of funds due to smart contract vulnerabilities

Our total liability shall not exceed the amount of fees paid by you to us in the preceding 12 months.

11. Termination

We may terminate or suspend your account immediately, without prior notice, for any reason including:

• Violation of these Terms
• Engaging in prohibited activities
• Request by law enforcement or government agency
• Extended periods of account inactivity
• Technical or security issues

Upon termination, your right to use the Platform will immediately cease. Any funds in your account may be forfeited if termination results from your violation of these Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which LendrGroup operates, without regard to its conflict of law provisions.

Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of a recognized arbitration body. You agree to waive any right to participate in class-action litigation.

13. Amendments

We reserve the right to amend these Terms at any time. When we make material changes, we will provide notice through:

• Email notification to registered users
• Announcements on our Platform
• Updates to the "Last Updated" date

Your continued use of the Platform after any changes constitutes acceptance of the new Terms. If you do not agree to the amended Terms, you must stop using the Platform.
